1. Who this agreement is between
This Catering Service Agreement is between Talia Coffee Catering LLC, based in College Station, Texas ("we", "us"), and the person or business that signs it ("you"). It covers the coffee catering described in Exhibit A, which includes the date, times, location, guest count, add-ons and price from your quote and booking form.
If you sign for a business, school, church or other organization, you confirm you're allowed to sign for it, and "you" means that organization too.
2. Booking your date
Your date is booked once you sign this agreement and either save a card on file or pay. Until then, your quote doesn't hold the date.
If you picked a date or time our calendar showed as unavailable, your booking is a request: we'll confirm by text or email within two business days, and if we can't do it, nothing is charged and this agreement ends.
3. What's included
For the hours of service in Exhibit A, we bring our mobile espresso cart and serve espresso drinks, non-coffee drinks and flavors from our menu, with cups, lids, straws, napkins and stir sticks. Every booking includes at least one barista, and we usually send two at no extra cost when both are free. We arrive before service to set up and clean up our area afterward. Travel listed in Exhibit A is included.
The menu is our standard menu plus anything listed in Exhibit A. If an ingredient isn't available, we'll substitute something as close as we can.
Prices include any sales tax we're required to collect.
4. Payment
Nothing is due when you book. We need a debit or credit card on file to hold your date, and we'll email you an invoice for your total.
You can pay the invoice any time before your event. Any amount still unpaid is charged automatically to your card on file on the morning of your event (the first day, for multi-day events).
If you'd rather, you can pay the full amount when you book. Pay-over-time options shown at checkout are offered by those companies under their own terms.
If a charge is declined, we'll text or email you a link to pay. The balance must be paid before service begins. If it isn't, we may treat the booking as cancelled within 7 days of the event (see Cancellations).
We don't add a fee for paying by card.
5. Card authorization
By signing, you authorize Talia Coffee Catering LLC to charge the card you save at booking, through our payment processor Stripe, for: (1) any unpaid balance on the morning of your event; (2) changes you ask for, such as extra guests, hours or add-ons; (3) extra time you approve on the day (see Changes on the day); (4) a cancellation charge owed under this agreement; and (5) the repair or replacement cost of our equipment if it's damaged or lost because of you or your guests, after we send you photos and the cost.
Your card number is stored by Stripe, never by us. To use a different card, contact us before your event. If you have a problem with a charge, please contact us first so we can fix it quickly.
6. Guest count and other changes
Please send your final guest count and any changes at least 7 days before your event. Changes are made in writing, and a text or email counts.
Adding guests, hours or add-ons is subject to availability and updates your price. Reducing them within 7 days of the event doesn't lower the price.
Custom branded items (such as printed cups, panels, signs or printer designs) need at least 14 days to produce and can't be changed once ordered.
7. Changes on the day
Service runs for the hours in Exhibit A. If you'd like to keep the coffee going and our team is available, we can extend at $129 per extra hour, or part of an hour, charged to your card on file after the event.
8. Cancellations
To cancel, tell us in writing (a text or email counts). What you owe depends on how far ahead you cancel:
- 15 or more days before your event: nothing. Anything you've paid is refunded in full.
- 8 to 14 days before: 50% of your booking before sales tax. We charge it to your card on file, or refund the rest of what you've paid.
- 7 days or less: 100% of your booking before sales tax. Whatever you've paid stays with us as a credit you can use toward a future event within 12 months.
Gratuity and sales tax are never part of a cancellation charge. Custom branded items we've already ordered for you are owed whenever you cancel, because we can't return them.
These charges exist because we turn down other events for your date and buy coffee, milk and supplies ahead of time.
9. Rescheduling
You can move your event to a new date for free, as long as we're available, with at least 72 hours' notice (7 days for multi-day events). With less notice, the original booking is charged in full and the new date is booked separately.
Moving to a date with a different price (for example a different day of the week or season) updates your total.
10. Your venue, power and access
- Access: our baristas need to get into the service space at least 60 minutes before service starts and stay 30 minutes after it ends. Please arrange this with your venue, including any fees for that time.
- Space: a flat, level spot about 6 by 6 feet for the cart, with room for a line.
- Power: one standard 120-volt outlet within 25 feet that isn't shared with heaters, coffee urns or other large appliances. We bring heavy-duty extension cords. Without suitable power, the espresso machine can't run properly and we may only be able to serve some drinks, which doesn't reduce the price.
- Parking and loading: a place to unload close to the setup spot. Paid parking or loading fees are added to your invoice at cost.
- Permits and venue rules: getting venue approval, permits or vendor paperwork is your responsibility. Tell us early and we'll send anything we can, like our certificate of insurance.
11. Outdoor events and weather
Outdoor service needs shade or cover over the cart, such as a tent, awning or covered patio, and a flat surface. In rain, lightning, strong wind, extreme heat or temperatures below 40°F, we may move the cart to a covered spot or pause service until it's safe. Time lost to weather isn't refunded, but we'll make up what we can.
If weather makes service unsafe and there's no covered spot, we'll work with you to reschedule at no charge.
12. Our team and your guests
Our drinks are made with or near milk, tree nuts (such as almond milk), soy, oats and other allergens. Tell us about allergies ahead of time. We can't promise anything is allergen-free.
We don't serve or add alcohol. If you want spiked coffee, your venue's licensed bartender has to handle the alcohol separately from our cart.
Our baristas can refuse to serve anyone acting unsafely or harassing them, and can leave if the space becomes unsafe. In that case the booking is still owed.
You're responsible for your guests. If our equipment is damaged or goes missing because of you or your guests, you'll cover the repair or replacement cost.
13. Insurance
We'll have general liability insurance in place for your event and can send your venue a certificate of insurance (COI) on request.
14. Photos
We may take photos of our cart, setup and drinks for our website and social media. We won't feature you or your guests without permission, and if you'd rather we take no photos at all, just tell us.
15. If we can't make it
If we can't serve your event for a reason on our side, we'll refund everything you've paid. With your permission, we may instead arrange another coffee caterer at no extra cost to you.
16. Things outside anyone's control
Neither of us is responsible for missing our part of this agreement because of events outside reasonable control, like severe weather, natural disasters, fires, power or utility outages, serious illness, accidents on the way, or government orders. If that happens, we'll offer you a new date within 12 months, or refund what you've paid minus custom items already ordered.
17. Limits on liability
To the fullest extent the law allows, our total responsibility for any claim connected to your event is limited to the amount you paid us for it, and neither of us is liable to the other for indirect or consequential losses. Nothing here limits responsibility for injury caused by negligence where the law doesn't allow that.
18. If something goes wrong
Please tell us right away, ideally during the event, so we can fix it on the spot. If we can't settle a disagreement between us, it will be handled under Texas law in the courts of Brazos County, Texas, including small claims court.
19. Electronic signature and the whole agreement
You agree to sign and receive this agreement electronically. Your typed name is your signature, with the same effect as signing on paper. We keep a copy of exactly what you signed, with the date, time and device information, and you can view or print it any time from your booking link.
This agreement, including Exhibit A and your booking form answers, is our whole agreement about your event. Changes must be in writing (a text or email counts). If any part turns out to be unenforceable, the rest still applies.
